These Terms of Service (“Terms”) govern your access to and use of the Hisabe ERP platform, websites and related applications (the “Service”), operated by Propgic (“Hisabe”, “we”, “us” or “our”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the Service.
1. Definitions
- “Customer” / “you” means the organisation or individual that registers for the Service.
- “Users” means the people you authorise to access your workspace.
- “Customer Data” means the data you and your Users submit to or generate through the Service.
2. Accounts and eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorised use. You are responsible for your Users’ compliance with these Terms.
3. Subscriptions, billing and taxes
- Paid plans are billed in advance on the cycle shown at checkout (for example, monthly or annually) and renew automatically unless cancelled before the renewal date.
- Fees are exclusive of applicable taxes (including GST), which will be added where required.
- You authorise us and our payment processor to charge your chosen payment method for all fees due.
- Except where required by law, fees are non-refundable. Cancelling stops future renewals; it does not refund the current term.
- We may change pricing with prior notice; changes take effect at your next renewal.
4. Acceptable use
You agree not to:
- use the Service for any unlawful, infringing or fraudulent purpose;
- upload malware, attempt to gain unauthorised access, or interfere with the integrity or performance of the Service;
- reverse engineer, copy, resell or sublicense the Service except as permitted by law;
- exceed documented usage limits or use automated means to overload the Service; or
- upload data you do not have the right to process, or that violates the rights of others.
5. Customer Data and ownership
As between the parties, you own all Customer Data and are responsible for its accuracy, quality and legality. You grant us a limited, worldwide, non-exclusive licence to host, process and transmit Customer Data solely to provide, secure and support the Service and as described in our Privacy Policy. We will not access your Customer Data except as needed to operate the Service, provide support you request, or comply with law.
6. Intellectual property
The Service, including its software, design, trademarks and content (excluding Customer Data), is owned by Propgic and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms. We welcome feedback and may use it without obligation to you.
7. Third-party services
The Service may integrate with third-party services (such as payment processors and messaging providers). Your use of those services is governed by their own terms, and we are not responsible for them.
8. Service availability and support
We strive to keep the Service available and provide support through the channels listed on our website. We may perform scheduled maintenance and will make reasonable efforts to minimise disruption. The Service is provided on an “as available” basis and we do not guarantee uninterrupted or error-free operation.
9. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care and use it only to fulfil its obligations under these Terms, except where disclosure is required by law.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for verifying that reports, tax calculations and other outputs meet your legal and accounting obligations.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You will defend and indemnify Propgic against claims, damages and costs arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
13. Suspension and termination
You may cancel your subscription at any time from your account settings. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period after termination, after which it may be deleted in line with our retention practices.
14. Changes to the Service and Terms
We may modify the Service and these Terms from time to time. For material changes to these Terms, we will update the effective date above and notify you where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory consumer protections, the courts at Bengaluru, Karnataka will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
